Product Liability and Warranty Terms

These product liability and warranty terms apply to devices, marking materials, software, software licenses, and related solutions and services supplied by Kroko Print Solutions Oy to B2B customers, unless otherwise agreed in writing.

1. Devices and Printers

Kroko Print Solutions Oy provides comprehensive solutions to its corporate customers, consisting of printer devices, marking materials, software, and system integrations. Due to the diverse nature of product categories, responsibility and warranty terms are divided into the following entities.

Kroko label and heat-shrink sleeve printers come with a 60-month manufacturer's warranty from the date of delivery, unless otherwise stated in writing with the product or delivery.

The warranty covers material and manufacturing defects that appear in the product.

The warranty does not cover defects or damage resulting from, for example:

  • incorrect use or use contrary to instructions;
  • carelessness or negligence;
  • incorrect installation or maintenance;
  • modifications or repairs made by the customer or a third party;
  • power surges or other disturbances in the electrical network;
  • mechanical damage or external impact;
  • moisture, dust, chemicals, or other environmental conditions exceeding the device's technical specifications; or
  • other external factors beyond Kroko's control.

Printing Materials and Consumables

Kroko's software and printers are designed and intended for use with Kroko's original printing materials, ribbons, power supplies, and other Kroko accessories.

The use of materials or accessories other than Kroko's original products invalidates the product warranty. Furthermore, Kroko has the right to invalidate the software license if Kroko's software is used in conjunction with materials or accessories other than Kroko's original products.

2. Marking Materials and Consumables

Kroko supplies industrial-grade marking materials, such as labels, heat-shrink sleeves, cable markers, and other similar products.

The suitability of the material depends on the final application and operating environment. The customer is responsible for evaluating and ensuring the material's suitability concerning the application, mounting surface, chemicals, temperature, humidity, UV radiation, mechanical stress, and other operating conditions.

Kroko is responsible for ensuring that the delivered materials meet the agreed-upon or stated technical specifications.

Kroko is not responsible for the material detaching, fading, wearing out, or becoming illegible if the problem is caused by, for example, incorrect installation, unsuitable mounting surface, exceeding operating conditions, or other factors beyond Kroko's control.

3. Software and system integrations

Kroko software products, including Kroko Autoprint, Watcher, and Cloud Print, are provided in their currently available form and scope, unless otherwise agreed upon in writing regarding specific functionality or service level.

The functionality of the software may be affected by the customer's operating environment, third-party systems, network connections, operating systems, interfaces, and other factors beyond Kroko's control.

Kroko is not responsible for missing data, data corruption, loss of print commands, or other malfunctions resulting from changes to the customer's or a third party's system, software, interface, network, access rights, server, or infrastructure, or other factors outside Kroko's sphere of influence.

Kroko is not responsible for business interruptions, production stoppages, loss of data, or other damage resulting from system, telecommunications, cloud service, or infrastructure failures independent of Kroko.

4. General B2B limitations of liability

Indirect damages

Kroko Print Solutions Oy is not liable to the customer for indirect, incidental, or consequential damages, unless otherwise mandated by compelling legislation. These include, but are not limited to:

  • loss of turnover or profit;
  • production stoppages;
  • business interruptions;
  • delays in projects or deliveries;
  • lost savings or other financial benefits;
  • loss of information or data;
  • claims made by third parties against the customer; and
  • contractual penalties or other sanctions imposed by third parties on the customer.

Maximum liability

Should a defect attributable to Kroko be found in a product, device, material, or software, Kroko's aggregated total liability for the product, product batch, delivery, or software license subject to the defect shall be limited to the net purchase price or license fee actually paid by the customer for the product or service in question.

For continuous software or service fees, the maximum liability is limited to the net amount paid by the customer for the agreed period, unless otherwise agreed upon in writing.

The aforementioned limitations of liability apply to the extent that they can be validly agreed upon.

5. Inspection and Claiming of Deliveries

The customer must inspect the delivery within a reasonable time after receipt. Visible defects, deficiencies, and transport damages must be reported to Kroko in writing within eight (8) working days of receiving the delivery.

If the customer does not report an observable defect within the aforementioned deadline, the delivery is deemed accepted with respect to such observable defects, to the extent that such a deadline can be validly agreed upon. Hidden defects must be reported to Kroko within a reasonable time after the defect has been discovered or should have been discovered.

6. Warranty Processing

For warranty or liability processing, Kroko may request necessary information from the customer to clarify the defect, such as the product's serial number, delivery or order number, a description of the observed defect, photographs, details of materials used, software version, or information regarding the operating environment. Kroko has the right to inspect the reported defect before granting a warranty repair, a replacement product, or other compensation.

If, upon inspection, it is determined that the reported defect is not covered by the warranty or Kroko's liability, the customer may be charged separately agreed investigation, service, delivery, and other incurred costs.

7. Applicability

These product liability and warranty terms are valid for products and services supplied by Kroko Print Solutions Oy to its B2B customers, unless explicitly agreed otherwise in a separate written agreement, offer, order confirmation, or other written document.

In case of a conflict between these terms and a written agreement made with the customer, the specific condition explicitly agreed upon between the parties shall take precedence.

Kroko Print Solutions Oy reserves the right to update these product liability and warranty terms. The updated terms shall apply to new deliveries and agreements made after their effective date, unless otherwise agreed in writing with the customer.

These terms shall apply to the extent that they can be validly agreed upon. Nothing in these terms shall limit a party's rights or obligations based on mandatory legislation.
